Bartholomew<\/a>, <em><a href=\"https:\/\/theconversation.com\/institutions\/university-at-buffalo-925\">University at Buffalo<\/a><\/em><\/p>\n\n\n\n<p><em>Albertsons announced on Dec. 11, 2024, that it had called off an <a href=\"https:\/\/www.albertsonscompanies.com\/newsroom\/press-releases\/news-details\/2024\/Albertsons-Terminates-Merger-Agreement\/default.aspx\">attempted merger with Kroger<\/a> and would sue Kroger for breach of contract. The US$25 billion deal, first announced in 2022, would have combined Cincinnati-based Kroger, already the <a href=\"https:\/\/www.foodindustry.com\/articles\/top-10-grocers-in-the-united-states-2019\/#gsc.tab=0\">largest traditional U.S. supermarket chain<\/a>, with Boise, Idaho-based Albertsons, which is currently the third-biggest grocer.<\/em><\/p>\n\n\n\n<p><em>The Conversation U.S. asked <a href=\"https:\/\/scholar.google.com\/citations?user=wI3ku0oAAAAJ&amp;hl=en&amp;oi=ao\">Christine P. Bartholomew<\/a>, a professor at the University at Buffalo School of Law who researches consumer protection, to explain how the merger failed and why it matters.<\/em><\/p>\n\n\n\n<h2>Which supermarkets belong to the two companies?<\/h2>\n\n\n\n<p><a href=\"https:\/\/www.thekrogerco.com\/about-kroger\/history\/\">Kroger has 28 subsidiaries with nearly 2,800 supermarkets<\/a>, including Harris Teeter, Dillon\u2019s, Smith\u2019s, King Soopers, Fry\u2019s, City Market, Owen\u2019s, JayC, Pay Less, Baker\u2019s Gerbes, Pick\u2018n Save, Metro Market, Mariano\u2019s Fresh Market, QFC, Ralphs and Fred Meyer.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.albertsonscompanies.com\/about-aci\/overview\/default.aspx\">Albertsons owns and operates more than 2,200 supermarkets<\/a> through its many brands. They include Safeway, Vons, Jewel-Osco, Shaw\u2019s, Acme, Tom Thumb, Randalls, United Supermarkets, Pavilions, Star Market, Haggen, Carrs, Kings Food Market and Balducci\u2019s.<\/p>\n\n\n\n<p>Kroger and Albertsons also operate supermarkets branded with their own names.<\/p>\n\n\n\n<p>Had the merger gone forward, it would have been the largest of its kind in U.S. history, affecting millions of grocery shoppers.<\/p>\n\n\n\n<p>To ward off regulators\u2019 concerns, prior to canceling the transaction, the chains announced in 2023 a <a href=\"https:\/\/ir.kroger.com\/news\/news-details\/2023\/Kroger-and-Albertsons-Companies-Announce-Comprehensive-Divestiture-Plan-with-CS-Wholesale-Grocers-LLC-in-Connection-with-Proposed-Merger\/default.aspx\">plan to sell hundreds of their supermarkets<\/a> across the United States to C&amp;S Wholesale Grocers. They <a href=\"https:\/\/ir.kroger.com\/news\/news-details\/2024\/Kroger-Albertsons-Companies-and-CS-Wholesale-Grocers-LLC-Announce-an-Updated-and-Expanded-Divestiture-Plan\/default.aspx\">updated this plan<\/a> in 2024, pledging to not close any stores.<\/p>\n\n\n\n<h2>Why did Kroger want to acquire Albertsons?<\/h2>\n\n\n\n<p>The <a href=\"https:\/\/www.nbcchicago.com\/news\/business\/us-sues-to-halt-merger-of-kroger-and-albertsons-parent-companies-of-marianos-and-jewel-osco\/3366312\/\">companies argued that they needed to join forces<\/a> to compete against even bigger online and big box retailers. In recent years, Walmart and Costco have <a href=\"https:\/\/www.grocerydive.com\/news\/kroger-albertsons-merger-2023-pardon-the-disruption\/696308\/\">gained market share<\/a>, while other chains have held steady or lost ground.<\/p>\n\n\n\n<p>The companies also feared stiff competition from dollar stores, one of the <a href=\"https:\/\/www.npr.org\/2022\/10\/14\/1129014897\/kroger-and-albertsons-plan-merger-to-combine-2-largest-supermarket-chains\">fastest-growing segments of U.S. retail<\/a>.<\/p>\n\n\n\n<p>The federal government opposed the merger, with the <a href=\"https:\/\/www.ftc.gov\/legal-library\/browse\/cases-proceedings\/kroger-companyalbertsons-companies-inc-matter\">U.S. Federal Trade Commission suing<\/a> to block it. Had the deal gone through, the new company would have cemented its position, ensuring it has the largest market share for grocery purchases after Walmart.<\/p>\n\n\n\n<h2>What happened in court?<\/h2>\n\n\n\n<p>In February 2024, the FTC, along with <a href=\"https:\/\/www.cbsnews.com\/news\/kroger-albertsons-ftc-sues-to-block-merger\/\">state attorneys general<\/a> representing consumers in eight states \u2013 Arizona, California, Illinois, Maryland, Nevada, New Mexico, Oregon and Wyoming \u2013 filed a federal lawsuit in Oregon to block the merger. So did the District of Columbia\u2019s attorney general.<\/p>\n\n\n\n<p>This wasn\u2019t the only legal challenge the merger faced. The <a href=\"https:\/\/www.npr.org\/2024\/01\/15\/1224401179\/kroger-albertsons-merger-grocery-lawsuit-washington\">Washington<\/a> and <a href=\"https:\/\/coag.gov\/2024\/colorado-attorney-general-phil-weiser-files-lawsuit-to-block-proposed-kroger-albertsons-merger\/\">Colorado<\/a> attorneys general both filed suit in their own states to block the merger.<\/p>\n\n\n\n<p>After hearings in both cases and months of uncertainty, the judges in both Oregon and Washington issued their rulings.<\/p>\n\n\n\n<p>U.S. District Court Judge Adrienne Nelson, in Portland, Oregon, on Dec. 10, which <a href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-court-decision-41263bd9137d5046a642e7d26e98cdfc\">blocked the merger<\/a> pending the outcome of the administrative proceedings before the FTC.<\/p>\n\n\n\n<p>A few hours later, <a href=\"https:\/\/www.atg.wa.gov\/news\/news-releases\/judge-blocks-kroger-albertsons-merger-following-ag-ferguson-challenge\">Judge Marshall Ferguson in Seattle<\/a> issued a permanent injunction barring the merger in Washington state only. Both judges determined that the merger risked significantly reducing competition and that the companies didn\u2019t offer enough evidence that the merger would help consumers.<\/p>\n\n\n\n<p>\u201cWe\u2019re standing up to mega-monopolies to keep prices down,\u201d Ferguson said. He called the injunction \u201can important victory for affordability, worker protections and the rule of law.\u201d<\/p>\n\n\n\n<p>Albertsons and Kroger\u2019s <a href=\"https:\/\/www.promarket.org\/2023\/11\/22\/why-the-kroger-albertsons-merger-is-a-mess-for-consumers\">plan to offload stores to C&amp;S<\/a> didn\u2019t impress the judges. Kroger<\/h2>\n\n\n\n<p>The morning after the Washington and Oregon decisions were issued, the deal was dead.<\/p>\n\n\n\n<p>Albertsons announced it terminated the merger agreement, <a href=\"https:\/\/www.businesswire.com\/news\/home\/20241211817240\/en\/Albertsons-Terminates-Merger-Agreement\">citing the court decisions<\/a>.<\/p>\n\n\n\n<p>Both companies still face significant legal challenges, though. Five minutes after announcing its intent to back out of the deal, Albertsons issued a second press release announcing it had <a href=\"https:\/\/www.businesswire.com\/news\/home\/20241211517822\/en\/Albertsons-Files-Lawsuit-Against-Kroger-for-Breach-of-Merger-Agreement\">filed a lawsuit against Kroger<\/a>.<\/p>\n\n\n\n<p>Albertsons said Kroger willfully breached the deal \u201cby repeatedly refusing to divest assets necessary for antitrust approval, ignoring regulators\u2019 feedback, rejecting stronger divestiture buyers and failing to cooperate with Albertsons.\u201d The suit seeks significant damages, including \u201c<a href=\"https:\/\/www.npr.org\/2024\/12\/11\/nx-s1-5225411\/albertsons-sues-kroger-grocery-supermarket-merger\">billions of dollars<\/a>\u201d for lost shareholder value and legal costs, as well as a $600 million merger breakup fee.<\/p>\n\n\n\n<p><a href=\"https:\/\/ir.kroger.com\/news\/news-details\/2024\/Kroger-Statement-Responding-to-Albertsons-Baseless-Lawsuit\/default.aspx\">In response, Kroger said<\/a> that \u201cAlbertsons\u2019 claims are baseless and without merit.\u201d<\/p>\n\n\n\n<p>Albertsons\u2019 suit against Kroger is pending in <a href=\"https:\/\/courts.delaware.gov\/chancery\/\">Delaware Court of Chancery<\/a>, which hears many legal business disputes.
